넷플릭스(Netflix)가 스트리밍 서비스 시장 1위를 굳혀가는 가운데 경쟁 서비스들의 합종 현횡이 계속되고 있다. 스포츠 전문 스트리밍 푸보(Fubo)와 디즈니(Disney)가 라이브 스트리밍 비즈니스를 통합하기로 했다.

디즈니가 운영하고 있는 라이브 TV 스트리밍(VOD포함) 훌루(Hulu) 서비스는 이제 푸보와 합쳐 미국 2위 가상 유료 방송 서비스(vMVPD)가 될 전망이다. 가상 유료 방송 서비스는 케이블TV와 같이 실시간 TV채널과 VOD가 함께 제공되는 플랫폼으로 유튜브TV(YouTube TV)가 점유율 1위다. 합병 소식에 1월 6일 푸보의 주가는 250% 상승했다. 푸보의 2025년 1월 6일 기준 시가 총액은 16억 9,000만 달러다.

합의와 함께, 푸보는 디즈니가 포함된 통합 스포츠 스트리밍 베뉴(Venu Sports)에 대한  소송을 중단하기로 했다. Fubo의 소유주는 캐나다계 미국인 억만장자 미디어 거물인 에드가 브론프만(Edgar Bronfman)이다. 후보는 디즈니와 폭스(FOX), 워너브러더스디스커버리(WBD)가 스포츠 스트리밍 합작 서비스 베뉴를 발표하자 지난 2024년 2월 이들 기업을 반독점 위반으로 뉴욕주 연방 법원에 제소했다. 이에 연방 판사는 통합을 중단하라는 가처분 명령을 내렸다.

As Netflix continues to consolidate its hold on the top spot in the streaming services market, competing services are consolidating. Sports streaming candidate Fubo and Disney are merging their live streaming businesses.

Disney's live TV streaming (including VOD) service Hulu will now combine with Fubo to become the second largest virtual pay TV distribution (vMVPD) in the U.S. A vMVPD is a platform that offers both linear TV channels and VOD, much like cable TV, with Youtube TV leading the pack. Candidate's stock price rose significantly on the news of the merger.

As part of the settlement, Fubo agreed to drop its lawsuit against Venu Sports, an integrated sports streaming company that includes Disney.

Fubo is owned by Canadian-American billionaire media mogul Edgar Bronfman. The candidate sued Disney, FOX, and Warner Bros. Discovery (WBD) in federal court in New York in February 2024 for antitrust violations after they announced their sports streaming joint venture, Venue. A federal judge granted a preliminary injunction to stop the merger.

Hulu + Live TV와 후보(Fubo)의 합병은 푸보(Fubo)라는 이름으로 운영된다. 합작이 마무리되는 대로 증시에 거래된다. 거래가 완료되면 디즈니는 푸보(Fubo)의 70%를 소유하게 된다. 디즈니와 베누의 파트너인 폭스 및 워너 브라더스 디스커버리는 푸보에 2억 2,000만 달러를 지급할 예정이다. 또 디즈니는 2026년에 푸보에 1억 4,500만 달러의 대출을 제공하기로 합의했다.  

통합 푸보는 채널 라인업이 매우 다양해질 전망이다. 기존 푸보는 스포츠를 중심으로 케이블TV와 위성방송, 인터엣 등에 실시간 채널을 공급했지만 훌루의 라이브 서비스는 뉴스, 드라마, 예능 등 사실상 케이블TV에 가까운 100여개의 채널을 공급했었기 때문이다.

합병 이후에도 공동 창립자이자 CEO인 데이비드 갠들러(David Gandler)가 이끌게 된다. 그러나 이번 거래에는 훌루의 라이브 TV부문만 포함됐을 뿐, 다른 사업부는 해당되지 않는다.

갠들러는 성명에서 "이번 결합을 통해 소비자에게 더 큰 선택권과 유연성을 제공하겠다는 약속을 이행할 수 있게 됐다"며 "이번 계약을 통해 효과적으로 확장할 수 있고,푸보의 재무 건전성에 큰 도움을 받을 수 있다"고 강조했다.

The combined Hulu + Live TV and Candidate will operate under the name Fubo. It will trade on the stock market as soon as the combination is finalized. Upon closing, Disney will own 70% of Fubo. Disney and Venu's partners, Fox and Warner Bros. Discovery, will pay $220 million for Fubo.

Disney has also agreed to provide Fubo with a $145 million loan due in 2026.  After the merger, the company will continue to be led by co-founder and CEO David Gandler. However, the deal only includes Hulu's live TV division, not its other businesses.

푸보는 디즈니와 폭스와 새로운 스트리밍 번들을 위한 별도 수신료 계약을 추진 중이다. 이 거래가 완료되면 푸보(Fubo)는 ESPN+을  포함하는 스포츠 및 방송(뉴스 등을 포함한) 스키니 번들을 만들 수 있게 된다.

한편, 디즈니와 푸보의 통합에 따라 디즈니, 폭스, WBD의 스포츠 메가 스트리밍 베뉴(Venu)  런칭 작업도 다시 탄력을 받을 것으로 예상된다. 베누에는 ESPN, ABC, TNT, Fox 등 세 회사가 보유한 실시간  TV채널의 스포츠 중계 콘텐츠가 포함될 예정이었다. 출시 당시 월 42.99달러로 책정 됐다. 업계는 베뉴가 올해 연말 서비스될 수 있을 것으로 전망하고 있다.

넷플릭스가 올해(2025)부터 WWE 레슬링 중계에 나서는 등 라이브 스포츠에 집중 투자 하고 있다. 2025년  베누의 등장으로 스포츠 스트리밍 시장은 넷플릭스, 베누, 유튜브TV 등이 치열한 경쟁을 할 것으로 보인다.

유튜브TV는 1년 전 구독자가  800만 명을 돌파했다고 밝혔다. 훌루 라이브TV의 460만 명과 푸보의 160만 명을 합치면 620만 명 정도가 된다.

일단 두 회사는 푸보와 훌루 라이브 TV 앱을 유지할 계획이다. 그러나 장기적으로는 이들이 합쳐 슈퍼앱이 될 가능성이 크다. 푸보는 매년 5만 5000개 이상의 라이브 스포츠 이벤트를 스트리밍 하고 있다.

블룸버그에 따르면 푸보와 훌루가 합칠 경우 60억 달러 정도의 매출을 발생시킨다. 회사는 오는 2028년 통합 시너지가 극대화하면서 75억 달러의 매출과 5억 5,000만 달러의 세전 영업이익(earnings before interest, taxes, depreciation and amortization)을 발생시킬 수 있다고 내다봤다.

Together, the combined venture will have more than $6 billion in revenue at closing, executives said on the call. In 2028, the company is expected to generate more than $7.5 billion in revenue and $550 million in earnings before interest, taxes, depreciation and amortization.

The Venu partners will make a cash payment to Fubo of $220 million, according to the statement. In addition, Disney has committed to provide a $145 million term loan to Fubo in 2026.

Wells Fargo & Co. is lead financial adviser to Fubo and is joined by Evercore Inc. Disney is advised by Centerview Partners LLC. Latham & Watkins LLP is Fubo’s legal adviser and Cravath, Swaine & Moore LLP is Disney’s.

Fubo is pursuing separate subscription fee deals with Disney and Fox for new streaming bundles. Once these deals are finalized, Fubo will be able to create sports and broadcast skinny bundles that include ESPN+.

Meanwhile, the integration of Disney and Fubo is also expected to re-energize Disney, Fox, and WBD's launch of sports mega-streaming Venu.

Venu was to include sports content from live TV channels owned by the three companies, including ESPN, ABC, TNT, and Fox. It was priced at $42.99 per month at launch.

The industry expects Venu to be available by the end of the year.

Netflix is making a big push into live sports, starting this year (2025) with WWE wrestling. With the arrival of Benu in 2025, the sports streaming market is expected to be highly competitive with Netflix, Benu, and YouTube TV.
