[2025 M&E]Making M&A routine(M&A의 일상화, 케이블과 지역 지상파의 위기

2024년 미디어 엔터테인먼트 시장의 또 다른 키워드는 인수합병(M&A)였다. 미디어 엔터테인먼트 기업의 인수 합병은 크게 두 방향으로 진행됐다.

스트리밍 서비스와 AI로 재편된 미디어 엔터테인먼트 시장 내 생존을 위해서다.

몸집을 더 키우거나 새로운 비즈니스를 위해 구조조정을 하는 방식이다. 먼저 7월에  이뤄진 스카이댄스(Skydance)의 파라마운트 글로벌(Paramount Global) 인수는 미디어 시장 뿐만 아니라 글로벌 산업계에서도 큰 주목을 받았다.  할리우드 메이저 스튜디오의 주인이 바뀌는 순간이었기 때문이다.

2024년에도 상당한 규모의 M&A가 많았다.

일단 가장 큰 구조조정에 위험에 노출되어 있는 서비스들은 케이블TV와 미국 지역 지상파 방송사다.

Another keyword for the media entertainment market in 2024 was mergers and acquisitions (M&A). The mergers and acquisitions of media and entertainment companies went in two directions.

To survive in a media entertainment market reshaped by streaming services and AI.
To get bigger or restructure for new businesses. The first, Skydance's acquisition of Paramount Global in July, was a big deal not only in the media market but also in the global industry.

It marked the change of ownership of a major Hollywood studio.

For now, the services most at risk of restructuring are cable TV and local TV networks in the US.

케이블TV의 잇단 위기

2024년 11월 전격 공개된 컴캐스트(Comcast) NBC유니버설의 케이블TV채널 분사(스핀코, Spinco)는 미디어 산업의 미래를 예측하기 충분했다. 한 때 유료 방송을 시장을 이끌던 케이블TV는 이제 스트리밍에게 주인공의 자리를 물려주고 있다는 것이다.

레거시 미디어들은 전통 유료 방송을 떠나 스트리밍 서비스로 이동하고 있다. 미국 케이블TV  광고 매출은 2016년 285억 달러였지만 2025년에는 200억 달러를 겨우 넘긴 209억 달러로 예상된다.

Comcast's November 2024 spinoff of NBCUniversal's cable TV channels (Spinco) from NBCUniversal was a predictor of the future of the media industry. Cable TV, once the market leader in paid broadcasting, is giving way to streaming.

Legacy media are leaving traditional pay-per-view and moving to streaming services. U.S. cable TV ad revenue was $28.5 billion in 2016, but is expected to drop to $20.9 billion by 2025, just shy of $20 billion.

아울러 워너브러더스 역시, 2024년 말 전격적인 조직 개편을 단행했다. 실시간 TV와  스트리밍 사업을 별도의 부서로 분할한 것이다. 업계에서는 워너브러더스디커버리 역시, 케이블TV를 분사해 몸집을 키우거나 매각을 염두에 있는 것으로 이해하고 있다. 이제 할리우드는 스트리밍 서비스로 간다.

워너 브라더스 디스커버리의 CEO인 데이비드 자슬라브(David Zaslav)는 성명에서 “새로운 기업 구조는 진화하는 미디어 환경에서 잠재적인 미래 전략적 기회에 맞춰 조직을 더 잘 조정하고 유연성을 강화할 것”이라며 “우리의 모멘텀을 구축하고 중요한 주주 가치를 제공할 수 있는 모든 방법을 평가하면서 기회를 창출하려 한다”고 강조했다.

Warner Bros. is also undergoing a major reorganization at the end of 2024, splitting its live TV and streaming businesses into separate divisions.

It's understood that Warner Bros. Discovery is also looking to spin off its cable TV unit, either to increase its size or to sell it. Now Hollywood is going streaming.

"The new corporate structure will better align our organization with potential future strategic opportunities in the evolving media landscape and provide greater flexibility," said David Zaslav, CEO of Warner Bros. Discovery, in a statement. "We intend to build on our momentum and create opportunities as we evaluate all ways to deliver significant shareholder value."

일단 스카이댄스의 파라마운트 글로벌 인수는 FCC의 심사를 거쳐야 한다. 벌써부터 까다로울 것이라는 이야기가 나온다. 파라마운트가 보유한 CBS가 트럼프 대통령에게 소송을 당했기 때문이다. 60minutes가 민주당 대선 후보였던 카마라 해리스에 부통령에 지나치게 유리하게 방송을 했다는 이유다.  

That said, incoming FCC chairman Brendan Carr indicated that regulators will be giving Skydance-Paramount a closer look. Donald Trump happens to be suing CBS over how 60 Minutes handled an interview with Kamala Harris, and, generally, the president elect does not enjoy the news media

미국 지역 지상파 M&A 임박

스트리밍 서비스 등장 이후 어려움을 겪고 있는 미국 지역 지상파 방송사들도 인수합병(M&A)을 준비하고  있다. 신임 브렌단 카(Brendan Carr) FCC의장은 '지역 지상파에 한해 규제 완화'를 예고했다.

미국 전역과 글로벌을 커버할 수 있는 스트리밍 서비스와는 달리 미국 지역 지상파의 커버리지는 점점 줄어들고  있다.

Local terrestrial broadcasters in the US, which have struggled since the rise of streaming services, are also preparing for mergers and acquisitions (M&A). New FCC Chairman Brendan Carr has promised to deregulate local terrestrial broadcasting.

Unlike streaming services that can cover the entire U.S. and the world, local terrestrial coverage in the U.S. is shrinking.

CNN에 따르면 차기 연방방송통신위원회(FCC) 의장인 브렌단 카(Brendan Carr)는 서한을 보내 최근 ABC가 도널드 트럼프가 제기한 명예훼손 소송에 대해 합의한 것을 언급하는 동시에 미디어의 전반적인 대중 신뢰의 하락을 비난한 것으로 알려졌다. 하지만 브렌단 카의 서한은 또 다른 이슈를 불러왔다.  

신뢰 하락과 함께 브렌단 카의 편지가 재전송 동의(retransmission consent)와 수중계료 협상(affiliate negotiations) 등 지역 로컬리즘 경제의 근본을 건들였기 때문이다.

디즈니가 소유한 ABC는 조지 스테파노풀로스(George Stephanopoulos)가 지난 3월 '디스 위크(This Week)'에서 한 발언에 대한 명예훼손 소송을 해결하기 위해 최근 트럼프 대통령 재단과 도서관에 1,500만 달러를 지급하고 100만 달러의 법률 비용을 지불하기로 합의했다.

카 위원장은 이전 미국인들의 미디어에 대한 신뢰도가 낮다는 여론조사를 지적하며 FCC가 이 문제에 대해 역할을 할 수 있다고 제안한 바 있다. 수정헌법 1조에 따라 미국 FCC는 보도 콘텐츠 등 콘텐츠 내용과 관련한 규제나 심의 기능이 없다. 그러나 트럼프 대통령은 당선인이 ABC 등 마음에 들지 않는 방송에 대해 면허를 취소해야 한다고 제안하기도 했다.

According to CNN, incoming Federal Communications Commission (FCC) Chairman Brendan Carr sent a letter to Disney's Bob Iger referencing ABC's recent settlement of a defamation lawsuit filed by Donald Trump and decrying the overall decline in public trust in the media. But Brendan Carr's letter raised another issue.

Along with the decline in trust, Brendan Carr's letter touched on the fundamentals of the localism economy, including retransmission consent and affiliate negotiations.

Disney-owned ABC recently agreed to pay the Trump presidential foundation and library $15 million and $1 million in legal fees to settle a defamation lawsuit over comments George Stephanopoulos made on "This Week" in March.

Carr has previously suggested that the FCC could play a role in the issue, pointing to polls that show Americans have low trust in the media.

Under the First Amendment, the FCC has no ability to regulate or review content, including news content. However, Trump has suggested that the president-elect should revoke the licenses of broadcasters he doesn't like, such as ABC.

FCC는 네트워크(Network)가 아닌 방송국(Station)에 라이선스를 부여한다. ABC본사에 대한 허가를 취소해도 지역 네트워크의 방송을 막을 방법이 없다는 이야기다.

CNN에 따르면, 카는 밥 아이거에게 보낸 서한에서 "ABC의 행동이 대중의 신뢰를 떨어뜨리는 데 결정적인 역할을 했다"고 썼다(ABC’s own conduct has certainly contributed to this erosion in public trust)

The FCC licenses stations, not networks. This means that revoking the license for ABC's headquarters would not stop the local network from broadcasting.

"ABC's own conduct has certainly contributed to this erosion in public trust," Carr wrote in a letter to Bob Iger, according to CNN.
